1. Introduction
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Epoint Digital Private Limited ("Epoint Digital," "Company," "we," "us," or "our"), an MCA-registered company incorporated under the Companies Act, 2013, with its registered office in India.
By accessing or using our corporate website, the Epoint Digital Portal (epointdigital.in), the Zyren Platform (zyren.epointdigital.co.in), the Vouxe mobile application, or any other digital product, API, or service operated by Epoint Digital (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Services immediately.
2. Eligibility
You must be at least 18 years of age and capable of entering into a legally binding contract under applicable Indian law. By using the Services on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.
3. Description of Services
Epoint Digital provides fintech and payment infrastructure, IT and digital solutions, cross-platform mobile applications, Banking-as-a-Service (BaaS) integrations, and related technology platforms. Specific features, availability, and service levels may vary by product and are subject to separate partner agreements, service-level agreements (SLAs), or product-specific terms where applicable.
4. User Accounts & Security
- You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.
- You must notify us immediately at hello@epointdigital.co.in upon becoming aware of any unauthorized access or security breach.
- We reserve the right to suspend or terminate accounts that violate these Terms, applicable law, or our internal compliance policies.
5. Acceptable Use
You agree not to use the Services to:
- Engage in fraudulent, illegal, or unauthorized transactions or activities.
- Violate any applicable law, regulation, or directive issued by the Reserve Bank of India (RBI), Ministry of Electronics and Information Technology (MeitY), or other regulatory authorities.
- Attempt to gain unauthorized access to systems, networks, or data belonging to Epoint Digital or third parties.
- Transmit malware, spam, or any content that is defamatory, obscene, or infringes intellectual property rights.
- Reverse engineer, decompile, or attempt to extract source code from our platforms except as permitted by law.
6. Payment & Transaction Terms
Where the Services involve financial transactions, payment routing, virtual payments, or payout processing, additional terms governing fees, settlement timelines, chargebacks, and dispute resolution may apply as communicated through partner agreements or platform documentation. Epoint Digital does not guarantee uninterrupted availability of payment rails and shall not be liable for delays caused by banking networks, NPCI systems, or third-party payment processors beyond our reasonable control.
7. Intellectual Property
All content, trademarks, logos, software, designs, and proprietary technology associated with the Services are owned by or licensed to Epoint Digital Private Limited. No license or right is granted to you except the limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms.
8. Third-Party Services & Links
The Services may integrate with or link to third-party websites, APIs, or platforms. Epoint Digital is not responsible for the content, privacy practices, or availability of third-party services. Your use of such services is governed by their respective terms and policies.
9. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis to the fullest extent permitted by law. Epoint Digital disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be error-free, uninterrupted, or free from security vulnerabilities.
10. Limitation of Liability
To the maximum extent permitted under applicable law, Epoint Digital Private Limited, its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Services. Our aggregate liability for any claim shall not exceed the amount paid by you to Epoint Digital for the specific Service giving rise to the claim during the twelve (12) months preceding the claim, or INR 10,000, whichever is greater.
11. Indemnification
You agree to indemnify, defend, and hold harmless Epoint Digital and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms, misuse of the Services, or infringement of any third-party rights.
12. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, third parties, or Epoint Digital. Upon termination, provisions that by their nature should survive — including intellectual property, disclaimers, limitation of liability, and governing law — shall remain in effect.
13. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in India, at the location of Epoint Digital's registered office.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
